Terms of Operations & Master Services Agreement

Standard Commercial Terms, Direct Manufacturer Fulfillment Architecture, Retail Consumer Provisions, and Enterprise Field Deployment Directives.

01 // OPERATIONAL ARCHITECTURE & MERCHANT OF RECORD

1.1 Merchant of Record: Veteran Tech Services Inc. operates as the legal Merchant of Record for all direct electronic transactions processed across veterantech.net and affiliated billing nodes. All credit card processing, commercial receivables, automated invoicing, and sales tax remittances are administered under the direct commercial authority of Veteran Tech.

1.2 Direct-from-Manufacturer Logistics Model: The Customer acknowledges that Veteran Tech coordinates high-density enterprise hardware fulfillment directly via authorized Original Equipment Manufacturers (OEM) and tier-1 national distribution logistics hubs. Physical custody of un-staged hardware assets is maintained at specialized manufacturing and staging docks prior to direct carrier injection.

1.3 Title Transfer and Risk of Loss (F.O.B. Shipping Point): All hardware sales are executed on a Free on Board (F.O.B.) Shipping Point / Origin basis. Legal title to hardware and all risk of loss, damage, theft, or in-transit destruction pass entirely to Customer the moment the freight carrier accepts custody of the cargo at the manufacturer’s or distributor’s warehouse dock.

1.4 Carrier Damage & Transit Claims: Veteran Tech does not accept liability for transit delays, handling damage, or freight loss occurring once custody transfers to the carrier. Customer must inspect all exterior pallets, crates, and cartons immediately upon physical receipt. Any visible packaging damage must be explicitly noted on the carrier’s delivery receipt / Bill of Lading (BOL) before signing. Concealed damage must be documented photographically and reported within 48 hours of delivery.

02 // FTC 30-DAY RULE COMPLIANCE & ORDER GOVERNANCE

2.1 Supply Chain Lead Times: Delivery estimates displayed on the website represent good-faith estimates. Veteran Tech maintains strict compliance with the FTC Mail, Internet, or Telephone Order Merchandise Rule (16 C.F.R. Part 435).

2.2 Order Delays & Cancellations: In the event an OEM component backorder delays order shipment beyond 30 calendar days, Veteran Tech will provide electronic notice outlining the revised shipping date and granting the option to consent or cancel for an immediate full refund.

2.3 Pricing Synchronization: Veteran Tech reserves the right to correct typographical errors, distributor API pricing mismatches, or tariff surcharges prior to shipment release.

03 // CONSUMER & RETAIL PURCHASE PROVISIONS (B2C SCOPE)

3.1 Scope: Applies exclusively to individual retail consumers purchasing hardware for personal/household use.

3.2 Pass-Through Manufacturer Warranties: All retail consumer hardware purchases pass through the OEM standard limited warranty. Veteran Tech provides no separate or independent retail warranty after the initial 48-hour delivery intake period.

04 // COMMERCIAL, ENTERPRISE & FIELD ENGINEERING ADDENDUM (B2B SCOPE)

4.1 Applicability: Automatically governs all commercial transactions associated with a corporate EIN, Tax ID, reseller certificate, or SOW.

4.2 Site Readiness Warranty: Customer warrants mandatory baseline conditions prior to technician dispatch: Unrestricted Physical Access, Utility & Environmental Baseline (UPS, HVAC power), and Pathway & ISP Readiness.

4.3 Standby & Abortive Trip Fees: Standby time beyond 45 minutes grace period will be billed at $150.00/hour per technician. Aborted deployments due to site unreadiness incur a flat Abortive Trip Fee equal to 100% of single-day labor fee plus travel expenses.

CRITICAL REQUIREMENT // CUSTOMER DATA RESPONSIBILITY & BACKUP OBLIGATION:

CUSTOMER RETAINS 100% RESPONSIBILITY FOR COMPLETING FULL, VERIFIED OFF-SITE BACKUPS OF ALL SYSTEM CONFIGURATIONS, DATABASES, OPERATING SYSTEMS, AND NETWORK ROUTING PROTOCOLS PRIOR TO TECHNICIAN ARRIVAL. VETERAN TECH ACCEPTS ZERO LIABILITY FOR LOSS OR CORRUPTION OF DATA.

05 // DISCLAIMER OF WARRANTIES & LIABILITY

All commercial hardware, cabling, and infrastructure deliverables are provided on an “AS IS” and “AS AVAILABLE” basis to the maximum extent permitted by law. Total aggregate liability is capped at actual fees received by Veteran Tech during the 60 calendar days preceding the event. Governed by Minnesota law with mandatory AAA commercial arbitration in Minneapolis, MN.
